These Terms of Use (the "Terms") are a binding agreement between you and Sorxi LLC, a Wyoming limited liability company ("Sorxi," "we," "us," or "our"). They govern your access to and use of the Sorxi One platform, the website at sorxi.com, and the Sorxi application, including the Workbench, the Content, and Get Backup (together, the "Service"). Capitalized terms have the meanings given in the shared glossary.

Please read these Terms carefully. They include important disclaimers about the educational nature of the Service, a limitation of Sorxi's liability, and, where included, dispute-resolution provisions. If you do not agree to these Terms, do not create an account and do not use the Service.


1. Acceptance and eligibility

By creating an account or otherwise accessing or using the Service, you agree to these Terms and to the documents incorporated by reference in Section 2. If you use the Service on behalf of an Organization, you represent that you are authorized to bind that Organization, and "you" includes that Organization.

The Service is offered in the United States and is intended for United States residents who are healthcare professionals, students, educators, and healthcare leaders. You represent that you are at least 18 years old and are not a minor in the jurisdiction in which you reside, and that you have the right, authority, and capacity to enter into these Terms. The Service is not intended for use outside the United States or by anyone under 18.

2. Documents incorporated by reference

The following are part of these Terms and are incorporated by reference. By agreeing to these Terms, you also agree to each of them:

  • the Privacy Policy, which explains how we handle personal information and includes our cookie and Subprocessor disclosures;
  • the No-PHI and Confidentiality Policy;
  • the Subscription, Billing, Refunds and Cancellations terms;
  • the Intellectual Property and License Terms;
  • the Get Backup Expert Services Terms, which govern each Get Backup purchase and control over these Terms and the billing terms on Get Backup matters; and
  • the Continuing Education Participant Policy, which governs the continuing education activities Sorxi designates as approved California continuing education.

If you access the Service through an Organization, additional terms in an Organization Agreement may also apply.

3. Description of the Service

Sorxi operates Sorxi One, an educational AI-safety Workbench for nurses, educators, and healthcare leaders. The Service helps you prepare for conversations and events (Prep), make sense of a moment involving an AI tool (Process), and draft educational and communication materials (Build). Through Get Backup, you may request help from a human Expert. Outputs are generated with artificial intelligence.

Sorxi is not a licensed healthcare provider. The Service provides education and process guidance only. It is not clinical decision support, diagnosis, treatment, dosing, triage, legal advice, or a compliance or accreditation determination. This is central to these Terms and is stated in several places because it matters.

4. Accounts

Access requires an account. Sorxi uses a magic link sent to your email address, or Google sign-in, to authenticate you. There are no passwords. You agree to provide accurate account and professional-credential information, to keep it current, and to keep access to your email account secure. You are responsible for activity that occurs under your account. Notify us at help@sorxi.com if you believe your account has been accessed without your authorization. One account is for one person; do not share account access.

5. Educational use and clinical scope (medical disclaimer)

The information and tools in the Service are provided for educational and process-guidance purposes only. They are not intended to diagnose, to provide certainty about a diagnosis, to recommend a product, medication, dose, or therapy, or to substitute for the clinical judgment of a qualified healthcare professional. You will not use the Service to create any clinician-patient or provider-patient relationship. You are solely responsible for evaluating any Output and for your use of it in connection with patient care or any other decision.

When you ask a clinical question, the Service is designed to decline and to redirect you to an appropriate resource, such as a pharmacist, a drug reference, or your facility policy. Every Output carries the following statement, which also governs your use of the Service:

Educational tool only. This is process guidance. You assess the patient and hold your license. This draft has not been reviewed against your facility policy.

6. NO MEDICAL ADVICE

SORXI IS NOT A HEALTHCARE PROVIDER, AND THE SERVICE AND ITS OUTPUTS ARE NOT MEDICAL ADVICE. The Service does not diagnose, treat, or provide a patient-specific assessment, and it is not a substitute for the evaluation and judgment of a qualified healthcare professional who is responsible for a specific patient. Outputs are for general educational purposes, are not comprehensive, may not apply to any specific situation, and are subject to change. You hold your professional license, you assess the patient, and you are responsible for your practice.

The Service is not for emergencies and is not monitored for urgent needs. If there is a medical emergency or a patient's safety is at risk, call 911 or your local emergency number, or use your facility's emergency process. Do not use the Service to seek emergency help and do not wait for an Output before acting.

7. No legal or compliance advice; continuing education

Sorxi does not provide legal advice and does not determine whether any policy, practice, document, or program is compliant, survey-ready, audit-ready, or legally sufficient. Materials the Service helps produce that sit near a facility policy or standard are drafting and education aids only; they are never a statement that a policy is compliant, complete, or ready to adopt.

Sorxi is approved by the California Board of Registered Nursing as a provider of continuing education. Only activities Sorxi designates as approved continuing education award contact hours. They are governed by the Continuing Education Participant Policy.

Board approval covers Sorxi's designated continuing education activities. It is not an approval or endorsement of any other Sorxi product, service, or position.

8. Artificial-intelligence output

Outputs are generated by artificial-intelligence models and are labeled as such. Outputs may be inaccurate, incomplete, or out of date. You must independently verify any Output before relying on it, and you must not rely on an Output as professional, clinical, legal, or compliance advice. Content in the Service may carry currency labels, such as "expert-opinion" or "outdated," to help you weigh it.

Some Output is presented in a distinct machine-generated voice. That voice is not a real nurse, a real provider, or any licensed professional, and Sorxi labels it as machine-generated wherever it appears. Sorxi does not impersonate a licensed professional.

9. Local review and approval required

Every Output and every Deliverable is a draft. You, and where applicable your facility, must review and approve each Output and Deliverable against your own policies, standards, applicable law, and professional judgment before any use. Outputs have not been reviewed against any specific facility's policies.

10. Get Backup and Expert services

Through Get Backup you may request help from a human Expert. Expert help is educational and advisory only. It is not clinical consultation, patient-specific advice, a legal or compliance determination, or an accreditation or survey-readiness claim, and it is not a substitute for your own judgment or your facility policy. An Expert does not write, approve, certify, or determine the compliance of a policy. The status "Reviewed with recommendations" means an Expert reviewed the material and offered recommendations; it is not approval, endorsement, or certification. You must not share PHI in the Get Backup channel. Each Get Backup purchase is governed by the Get Backup Expert Services Terms, which control scheduling, scope, fees, cancellation, and refunds for Get Backup and take precedence over the Billing terms on those matters.

11. Acceptable use and prohibited conduct

You agree to use the Service only for lawful, professional, and educational purposes consistent with these Terms. You will not:

  • enter, upload, or transmit Protected Health Information (PHI) or identifiable patient data, or employer-confidential materials, incident reports, personnel records, or proprietary policy text you are not authorized to share (see Section 12 and the No-PHI and Confidentiality Policy);
  • use any Output for clinical decision-making, diagnosis, treatment, emergency care, or as a facility policy without independent verification and local review;
  • make or distribute false or misleading medical claims;
  • share account access or your credentials;
  • use robots, spiders, scrapers, crawlers, data-mining tools, or other automated means to access the Service, or access it other than through a supported interface;
  • reverse engineer, decompile, or attempt to derive the Service's source code, models, or prompts, or incorporate the Service into other software;
  • attempt to defeat, extract, or manipulate the Service's system prompts, safety controls, or other users' data, including through prompt injection or similar techniques;
  • resell, sublicense, or redistribute Outputs or Content except as permitted by the Intellectual Property and License Terms;
  • circumvent usage limits or the metered Free Tier;
  • upload viruses or malicious code, or interfere with, disrupt, or overload the Service; or
  • submit content that is unlawful, infringing, defamatory, harassing, hateful, or that violates another person's privacy or any privacy or health-information law.

The Service may produce incorrect or outdated information; you are responsible for verifying it. The Service is a support tool, not a licensed provider. We may investigate suspected violations and may warn, throttle, suspend, or terminate access. Report abuse to help@sorxi.com.

12. No PHI

Sorxi is for de-identified, educational use. Do not enter protected health information (PHI), as defined under the HIPAA Privacy Rule, or anything that identifies a patient — names, record numbers, dates, images, or chart content. Keep out incident reports, peer-review files, personnel records, and confidential employer material you are not authorized to share. Describe things in general terms; you never need to identify a patient to use Sorxi.

Sorxi is not HIPAA-compliant and is not your business associate. No BAA is in effect, so do not send PHI even if you work for a covered entity. Any future PHI handling would require a signed BAA.

Keeping PHI out is your responsibility. You are responsible for anything you submit, and to the extent the law allows, Sorxi is not liable for PHI you enter. If you enter PHI by mistake, tell us at help@sorxi.com and we will remove it.

13. Your content

You retain your rights in the content you submit ("User Content"). You grant Sorxi a limited, worldwide, royalty-free license to host, process, and display your User Content solely to operate and support the Service and, only where you have consented and after de-identification, to improve the Service as described in the Privacy Policy. Sorxi does not sell your User Content, and does not use your User Content to train third-party AI models. You represent that you have the right to submit your User Content and that it does not include PHI, third-party confidential material, or employer or hospital policy text you are not licensed to share. This license does not grant Sorxi the broad right to sell or create derivative works from your User Content for unrelated purposes.

14. Intellectual property

The Service, including its software, models, prompts, templates, frameworks, rubrics, review methods, Content, and all related intellectual property, is and remains the exclusive property of Sorxi and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Content for your own professional and educational purposes. All rights not expressly granted are reserved. Ownership of Outputs and paid Deliverables, and the license you receive in them, are described in the Intellectual Property and License Terms. "Sorxi" is a mark of Sorxi.

15. Subscriptions and payment

Some features require payment. The Free Tier, paid Subscription, and a-la-carte Content, along with automatic renewal, cancellation, and refunds, are governed by the Subscription, Billing, Refunds and Cancellations terms; Get Backup purchases are governed by the Get Backup Expert Services Terms. Prices are disclosed before purchase.

16. Feedback

If you send us feedback or suggestions, you grant Sorxi a non-exclusive, perpetual, irrevocable, royalty-free license to use them to improve the Service, without obligation to you.

17. Third-party links and services

The Service may reference or link to third-party resources and providers. Sorxi does not control and is not responsible for third-party content, products, or practices. Your dealings with third parties are between you and them.

18. Disclaimer of warranties

THE SERVICE, THE CONTENT, AND ALL OUTPUTS AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SORXI AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND SYSTEM AVAILABILITY. SORXI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUT IS ACCURATE, CURRENT, OR SUITABLE FOR ANY PURPOSE. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SORXI AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, EXPERTS, AND LICENSORS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY OR WRONGFUL DEATH, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR ANY OUTPUT OR DELIVERABLE, OR ANY CLINICAL, LICENSURE, OR COMPLIANCE CONSEQUENCE OF RELYING ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SORXI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID SORXI FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Any claim arising out of or relating to the Service must be brought within one (1) year of the event giving rise to the claim, unless a longer period is required by law.

Nothing in these Terms limits liability that cannot be limited under applicable law. Because the Service is educational and you remain responsible for your own professional judgment, these limits are a fundamental basis of the bargain between you and Sorxi.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Sorxi and its affiliates from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, your submission of PHI or content you were not authorized to submit, or your reliance on an Output without the independent verification and local review these Terms require.

Where the User is an Organization, Sorxi will defend and indemnify the Organization against third-party claims that the Service, as provided by Sorxi and used as permitted, infringes a U.S. copyright, trademark, or trade secret. This commitment does not apply to claims arising from combination of the Service with anything Sorxi did not supply, from modification of the Service, or from continued use after Sorxi gives notice to stop. Sorxi may, at its option, procure the right to continue use, modify the Service so it is non-infringing, or refund prepaid fees for the affected period.

21. Copyright and takedown

Sorxi respects intellectual-property rights. If you believe Content in the Service infringes your copyright, send a notice to Sorxi's designated agent, Sean Ericson, at help@sorxi.com, including the information required by the Digital Millennium Copyright Act. We will respond to valid notices, provide a counter-notice process, and terminate repeat infringers in appropriate cases.

22. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, and the state and federal courts located in Wyoming will have jurisdiction over disputes.

23. Termination and suspension

We may suspend or terminate your access, with or without notice, if you violate these Terms or any incorporated document, if we reasonably believe your use creates risk or harm, or as required by law. You may stop using the Service at any time. We may also modify or discontinue the Service or any part of it.

24. Changes to these Terms

We may update these Terms from time to time. When we make a material change, we will update the "Last updated" date, increment the version, and, where appropriate, ask you to review and accept the updated Terms before continuing. Your continued use of the Service after an update takes effect means you accept the updated Terms.

25. General

These Terms, with the documents incorporated by reference in Section 2, are the entire agreement between you and Sorxi regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Where a disclaimer in these Terms states a narrower limit than a general provision, the narrower limit controls. Sections that by their nature should survive termination (including the disclaimers, limitation of liability, indemnification, intellectual-property, and governing-law provisions) will survive. We may provide notices to you through the Service or your registered email.
